Job Description
- Drafting, reviewing, preparing, and negotiating transaction documents, including due diligence reports, NDAs, CSPAs, SPAs, SHAs, financing agreements, and engagement letters.
- Drafting, reviewing, and preparing Articles of Association, corporate approvals, and documents & reports related to public disclosure.
- Drafting, reviewing, and negotiating operational documents (including distribution and dealer agreements) and Powers of Attorney.
- Conducting research and analysis on regulations and legal matters.
- Providing legal advice and guidance to internal AIHO and Astra group entities.
- Offering day-to-day legal support to cross-functional departments, including support for business process improvement and operational matters.
- Working closely and coordinating with external legal counsel.
- Continuously supporting the creation, standardization, and implementation of policies, terms & conditions, internal procedures, and operational guidelines.
- Contributing to team development and mentoring team members.
Requirements
- Minimum 5 years of experience, especially in corporate law firms.
- Proven experience in handling corporate transactions, including M&A, capital markets, financing, and restructuring.
- Proficient in drafting, reviewing, and preparing transaction documents (e.g., due diligence reports, NDA, CSPA, SPA, SHA, financing agreements, engagement letters), AoA, and public disclosure documents.
- Fluent in English, both verbal and written.
- Excellent working speed, highly organized, and detail-oriented.
- Strong communication, negotiation, presentation, analytical skills, and sound legal judgment to support business needs.
- Positive attitude, proactive, confident, and eager to learn.
- Proficient in Microsoft Office (Excel, Word, PowerPoint).
